By accessing or using the websites, mobile applications, or services (collectively, the "Services") provided by Global Sport Professionals Ltd ("GSP", "we", "our", or "us"), registered office at 66 Paul Street, London, EC2A 4NA, United Kingdom, you agree to be bound by these Terms of Service and all applicable laws and regulations.

If you do not agree with any part of these terms, you must not use our Services. These Terms constitute a legally binding agreement between you and Global Sport Professionals Ltd.

2. Our Services

Global Sport Professionals provides the following platforms and services:

• Genius, An AI-powered mobile application for football training, player performance tracking, and talent analysis.
• Citadel, A multi-tenancy web portal for football club administration, member management, and club operations.
• Galaxy, A sports e-commerce and rewards platform integrated with Genius.
• Ambassador, Creative branding, website development, and digital marketing services for grassroots football clubs.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable prior notice where possible.

3. User Accounts and Registration

To access certain features of our Services, you must create an account. When creating an account you agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your password and account credentials.
• Notify us immediately of any unauthorised use of your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to terminate accounts that violate these Terms or are inactive for an extended period following appropriate notice.

Where our Services are used by children (for example, players aged 6–15 using FC Genius), children cannot create accounts themselves. A parent or legal guardian ("Parent") must create and manage the child's account and provide verifiable consent before any of the child's data is collected or processed. By creating an account for a child, the Parent agrees to these Terms on behalf of themselves and the child.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable local, national, or international law or regulation.
• Transmit unsolicited or unauthorised advertising or promotional material.
• Impersonate any person or organisation, or misrepresent your affiliation.
• Interfere with or disrupt the integrity or performance of the Services.
• Attempt to gain unauthorised access to any part of our systems.
• Collect or harvest user data without express consent.

5. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, software, data compilations, and AI models, are the exclusive property of Global Sport Professionals Ltd and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, or commercially exploit any part of our Services without our express written permission.

User-generated content (such as training data or club records) remains your property. By submitting content to our Services you grant us a limited, non-exclusive licence to use that content solely to provide and improve the Services.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Global Sport Professionals Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of, or inability to use, our Services.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount paid by you, if any, to us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

Our platforms provide training guidance and analytics but do not replace qualified coaching. We are not responsible for injuries sustained during physical activity undertaken in connection with our Services.

7. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, if you breach these Terms, if safety or safeguarding concerns arise, or, in the case of a child's account, if the Parent withdraws consent. Upon termination, your right to use the Services ceases immediately. Parents may request deletion of a child's account at any time.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide reasonable notice of material changes by posting the updated Terms on our website with the new effective date. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.

• Transactional data (Galaxy): Purchase history, reward point balances, and delivery information.
• Communication data: Messages sent via our contact form or in-app messaging.
• Usage data: IP address, browser type, pages visited, and session duration (collected via cookies and server logs).

2. How We Use Your Data

We use your personal data to:

• Provide, maintain, and improve our Services (Legal basis: Contract performance).

• Service providers: Cloud hosting, email delivery (SendGrid), and analytics providers acting as data processors under appropriate agreements.
• Club administrators: Within Citadel, player data is visible to authorised club staff.
• Legal authorities: Where required by law, court order, or to protect rights and safety.

Under UK GDPR you have the following rights regarding your personal data:

5. Data Retention

We retain your personal data for as long as your account is active or as needed to provide our Services. Specifically:

• Account data: Retained for the duration of your account plus 12 months after closure.
• Inactive accounts: Deleted after 12 months of inactivity.
• Children's data: Deleted within 30 days of a parental deletion request.
• Transaction records: Retained for 7 years for legal and financial compliance.
• Contact form submissions: Retained for 2 years.
• Usage/analytics data: Retained in anonymised form for up to 3 years.
• Safeguarding records: Retained as legally required.

6. International Transfers

Our primary servers are located within the United Kingdom and European Economic Area. Where data is transferred outside these areas (e.g., to cloud service providers), we ensure appropriate safeguards are in place, including Standard Contractual Clauses approved by the ICO.

Our Services may be used by players under the age of 18 with parental or guardian consent. Club administrators using FC Citadel are responsible for ensuring appropriate consents are obtained for minor athletes in their club. We do not knowingly collect personal data directly from children under 13 without verified parental consent.
